1. Acceptance of Terms

By accessing and using the services provided by SouthEnd Properties Ltd ("we," "us," or "our"), including our website, mobile applications, and related services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

SouthEnd Properties Ltd provides comprehensive real estate services including but not limited to:

• Property management and facility management
• Property sales and marketing services
• Rental and leasing services
• Real estate valuation and appraisal
• Real estate consultancy and advisory services
• Land acquisition and development consultancy
• Online platform for property transactions and management

3. User Accounts and Registration

3.1 Account Creation

To access certain features of our services, you must register for an account. When you register, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.

3.3 Account Types

We offer different account types including tenant accounts, property owner accounts, agent accounts, and super-admin accounts, each with specific permissions and access levels appropriate to their role in our real estate ecosystem.

4. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection, use, and sharing of your information as described in our Privacy Policy.

We are committed to protecting personal data in compliance with applicable data protection laws, including the Uganda Data Protection and Privacy Act and other relevant regulations. This includes implementing appropriate technical and organizational measures to ensure the security of personal data.

5. Payment Terms

5.1 Fees and Charges

Some of our services are provided on a fee basis. All fees are clearly disclosed before you incur them. Fees may include service charges, commission fees, transaction fees, and other applicable charges.

5.2 Payment Methods

We accept various payment methods including bank transfers, mobile money payments, credit/debit cards, and other electronic payment methods. All payments must be made in the currencies specified for each transaction.

5.3 Late Payments

Late payments may incur additional charges, interest, or penalties as specified in your service agreement. We reserve the right to suspend services for accounts with outstanding payments.

6. Property Transactions

6.1 Property Listings

Property listings on our platform are provided for informational purposes. We strive to ensure accuracy but cannot guarantee the completeness or accuracy of all property information. Users should verify all property details independently.

6.2 Transaction Facilitation

We may facilitate property transactions but do not act as a party to such transactions unless explicitly stated. All property transactions are subject to separate legal agreements between the parties involved.

6.3 Due Diligence

Users are responsible for conducting their own due diligence on properties, including legal title verification, property inspections, and compliance with local regulations.

7. User Conduct and Responsibilities

You agree to use our services only for lawful purposes and in accordance with these Terms. You are responsible for:

• Providing accurate and truthful information
• Maintaining the security of your account
• Complying with all applicable laws and regulations
• Respecting the rights of other users and third parties
• Not engaging in fraudulent or deceptive activities
• Not uploading harmful or illegal content

8. Intellectual Property

8.1 Our Content

All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, are owned by SouthEnd Properties Ltd or our licensors and are protected by copyright, trademark, and other intellectual property laws.

8.2 User Content

By uploading content to our platform, you grant us a non-exclusive, royalty-free, worldwide license to use, display, and distribute such content in connection with our services. You retain ownership of your content but agree that we may use it as necessary to provide our services.

9. Limitation of Liability

To the maximum extent permitted by law, SouthEnd Properties Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use of our services
• Any unauthorized access to or use of our servers
• Any interruption or cessation of transmission to or from our services
• Any bugs, viruses, or other harmful code transmitted through our services
• Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content

10. Indemnification

You agree to defend, indemnify, and hold harmless SouthEnd Properties Ltd, its officers, directors, employees, and agents from and against any claims, actions, or demands, including without limitation reasonable legal and accounting fees, arising out of or resulting from your breach of these Terms or your use of our services.

11. Termination

11.1 Termination by User

You may terminate your account at any time by contacting us or using the account deletion features in our platform.

11.2 Termination by Us

We may terminate or suspend your account and access to our services immediately, without prior notice, for any reason, including but not limited to breach of these Terms.

11.3 Effect of Termination

Upon termination, your right to use our services will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Uganda. Any disputes arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Uganda.

We encourage amicable resolution of disputes and may require mediation before resorting to litigation.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect.

15. Entire Agreement

These Terms constitute the entire agreement between you and SouthEnd Properties Ltd regarding the use of our services and supersede all prior agreements and understandings, whether written or oral, relating to the subject matter hereof.
